In consideration of their mutual covenants herein contained the Corâ€" porations hereby agree that all rights, privileges, obligations or duties conâ€" ferred or imposed by the franchise agreements with the Toronto Suburban Railway hereinbefore referred to are terminated upon the purchase of the said Railway by the said Corporations, and that neither corporation shall be considered as the successor or assign of the Toronto Suburbhan Railway in respect of any of such rights, priviâ€" leges, obligations or duties. The terms "cars" or "rolling stock" shall, unless the context requires a difâ€" ferent meaning, include buses or other vehicles. 3. The Commission will, provided the terms and conditions hereinafter set out are fulfilled, operate the street railways on the terms and conditions and for the period hereinafter set out, provided always that under no cireumâ€" stances is the Commission or the Corâ€" poration of the City of Toronto to be at any cost or expense or to incur any liability by reason of such operation. ‘&. The Township covenants and agrees that within six months from the date hereof or within such further period as the parties hereto may agree or the Board may order, it will have purchased the street railway upon the Weston Road within its limits and will have the same rehabilitated or conâ€" structed and ready for operation by the Commission, such rehabilitation or construction to be according to plans and specifications prepared by and furâ€" nished by the Commission at the cost of the Township and to be under the entire supervision of the Commission, any chargeâ€"for such supervisionâ€"not to exceed one per cent. of the cost of such rehabilitation or construction. The Town covenants and agrees that within the period named in paraâ€" graph 4 above it. will have purchased the street railway on Weston: Roadl within its limits and changed â€" the guage thereof under the supervision of and in a manner satisfactory to the Commission, to conform with the gauge of the Commission‘s other lines, nameâ€" ly, to a width of four feet, ten and sevenâ€"eights inches (4‘ 10 7â€"8"). Should the Town make default under this paraâ€" graph the Commission may forthwith terminate this agreement, and the Town shall pay to it on demand any actual loss or damage which it may have sustained by reason of its having entered into the same or by reason of such termination thereof. 7. No street railway or any extenâ€" sion thereof shall be constructed or acquired by the Town during the term of this agreement unless with, the conâ€" sent of the Commission and unless, in the case of the construction or,rehabiliâ€" tation of a street railway, or any porâ€" tion or extension thereof, the approval of the Commission as to location, grade, track gauge, manner of conâ€" struction and materials to be used in such construction is obtained. 8. ‘The Corporation will, during the term of this agreement at the request of the Commission, take all means withâ€" in their respective powers to ensure to the Commission the exclusive right of furnishing in any manner whatsoever local transportation within the Town or within the district in the Township which may be assessed for the cost of the street railways, and in particular, will pass and enforce such byâ€"laws as either Corporation may from time to time legally pass, to prevent the operaâ€" tion of busses or jitneys where and when the Commission deems such to be in competition .with the street railâ€" ways. Provided that this section is not intended to prevent the operation by the Commission for the Corporaâ€" tions or either of them of a motor coach or bus service or any other specâ€" ial service upon special terms to be arâ€" ranged, if in the opinion of the Comâ€" mission such service is justifiable, havâ€" ing regard to the interests of the street railways. Should any such serâ€" vice be instituted by the Commission on behalf of the Town, no stops for the purpose of taking on or letting down passengers shall be made within the Township without the consent of both Corporations. 9. The Corporations â€" respectively agree to pass such byâ€"laws as they may from time to time legally pass to preâ€" vent unnecessary obstruction of their street cars by other vehicles and to give such street cars a rightâ€"ofâ€"way at street intersections over other vehicles. 10. The Corporations respectively agree to make. no agreement or arâ€" rangement with, and to grant no bonus, license or inducement to any other railâ€" way, street railway or transvortation company (limited as to the Township to any district which may be assessed for the cost of the street railways) without the written consent of the Commission. Provided that this clause shall not be deemed to apply to agreeâ€" ments or arrangements with owners or operators of a steam or electric railway for nonâ€"local, service on a private rightâ€"ofâ€"way. The Commission agrees that it will not operate any service other than is contemplated by this, agreement, within the Town or within the district of the Township which may be assessâ€" ed for the cost of the street railways, which, in its opinion, or in the opinion of the Board, prejudicially affects the street railways, provided â€" that â€" this clause shall not be construed to interâ€" fere with the operation by the Comâ€" mission from time to time of busses, coaches or other vehicles for sightâ€" seeing, excursion or othernonâ€"comâ€" petitive purposes. s t in M en . e rriapree en im aie 12. The Corporations agree to have furnished on streets on which the street railways operate adequate street lighting on each side thereof, and, in all cases where the track allowance 0¢â€" cupies the centre of the highway, to provide a sufficient width of travellâ€" able roadway on either side to permit a vehicle to pass between the street car and curb or gutter. 13. Any debentures issued, either by the Town or Township, to meet the cost of the acquisition, rehabilitation or construction of the â€"street railways shall be serial debentures payable withâ€" in a term not exceeding twenty years. 14.â€" The cost of construction, acquâ€" isition or rehabilitation of the street railways shall in no case be deemed to include: | (a) The cost of providing rightsâ€"of T . .. oo nomesenanie RMECLUEUIU + (a) The cost of providing rightsâ€"of way for such railways (other than the cost of land required for the purpose of terminal loops), and specifically land or property damâ€" ages in connection with any street opening Or widening, (b) any subway, bridge, culvert or reâ€" taining wall, (c) subject to Clause 38. the laying or renewal of any pavement. 15. The cost of construction ofâ€" the street railways shall also include the cost of any land, track, buildings, rollâ€" ing stock or equipment, or other capiâ€" tal expenditure, in addition to the oriâ€" ginal cost of such _ street railways, which the parties may from time to time agree is necessary or which, in default of agreement, the Board may decide is necessary to the efficient opâ€" eration of any such streetrailways, provided however that in any case any such contemplated expenditures shall be subject to the approval of the Board. 16. The Town (subject to the proâ€" viso hereinafter in this paragraph conâ€" tained) or Township, as the case may be, shall, within three months from the approval of any such expenditures by the said Board, furnish the Commisâ€" sion with the necessary monies thereâ€" for as required, and the parties hereto hereby agree to join in an application to the Legislature of the Province of Ontario for legislation â€" permitting either Corporation to pass byâ€"laws from time to time providing for the issuance of debentures for any such capital expenditures as are approved by the Board without â€" submitting . the same to a vote of the qualified elecâ€" tors. Provided that in case of the Town, when the total amount of such expenditures shall have â€"reached the sum of Thirtyâ€"five thousand dollars no further such expenditure shall be made without being submitted to the electors as aforesaid. 17. If the Township and the Comâ€" mission at any time agree that it is necessary, for the proper and efficiâ€" ent operation by the Commission of the street railways, to construct a conâ€" nection between such. street railways and the Commission‘s system within the City of Toronto, the Commission may construct or have constructed such connection. f 18. The cost of construction of such connection within the limits of the Township shall be borne by and such connection shall belong to the Township and the cost of construction of the whole or any portion of such connection within the City of Toronto shall be borne equally by the Town and the Township. _ Neither corporation shall have any right or claim to or interest in any part of any such conâ€" nection constructed within the limits of the City of Toronto. 19. The cost of _ construction of such connection within the limits of the said City shall be, deemed to inâ€" clude everything incidental to such construction, and unless such construcâ€" tion is done by contract there shall be included in such costs a proper perâ€" centage charge for the expenses of general engineering and supervision. 20. It is agreed between the parâ€" ties hereto that a conmectIon neiween the street railway of the Township and the Commission on Weston Road at or near Northlands Avenue is necessary for the proper and efficient operation by the Commission of the street railâ€" ways. 21. The Commission shall have the sole management of the street railâ€" ways, including the routes to be operâ€" ated and the service to be given, shall arrange for all cars, crews and equipâ€" ment necessary for the operation thereof, and shall (subject to paraâ€" graph (22) hereof) maintain and reâ€" pair all parts of such street railways and the paving of the track allowance therefor which shall include the space between the outer rails and sixteen inches outside of the gauge side of each of the said outside rails. 22. The cost of and incidental to the repair and maintenance of such track allowance paving, other than the cost of any repairs rendered necessary by reason of the repair or replaceâ€" ment of the tracks and track strucâ€" tures, shall not be charged against street railway operation, but shall be borne by the Town or Township as the case may be and shall be paid by it to the Commission forthwith upon deâ€" mand. 23. When the Town or Township, as the case may be, desires to carry out any municipal work under, or which may in any _ way affect, the street railways, it shall, except in cases of emergency, give the Commission reasonable notice thereof, and shall bear the full cost of repairing or reâ€" placing any part of such street railâ€" ways injured or destroyed by the carâ€" rying out of such work. 24. The. Commission _ may, by sweepers or otherwise, remove snow from off the track allowance to the sides of the roadway, and such proâ€" portion of the cost of the snow reâ€" moval from the roadway, other than the cost of the removal from the track allowance as above, as the width of the track allowance bears to the totai width of the roadway, including sideâ€" walks where the same are laid within three feet of the curb, shall be borne by the Commission and charged as part of the cost of operation of the street railways. 25. All claims or actions for alâ€" leged negligence in the operation 0 the street railways shall be made or brought against the Commission and dealt with by it, and the Commission shall have, through its solicitor, the conduct and control of all such claims and actions or of any action brought against either the Town or the Townâ€" ship in respect of any such alleged negligence, and may defend or. comâ€" promise the same as it deems expediâ€" ent. 27. ‘The Commission â€" agrees, If either Corporation so requests, to purâ€" chase from the electric system _ of either corporation, power for the operâ€" ation of the street railways, provided that in the judgment of the Commisâ€" sion such power can be advantageousâ€" ly purchased and used either in conâ€" junction with or in liew of other sources of power. 26. In case the Commission shall at any time or times be prevented from operating the street railways by reason of strike, fire, riot, invasion, or any God, or the King‘s enemies, or any other cause beyond its control, the rights and obligations of the parties hereto shall be unaffected thereby and each shall be prompt and diligent in doing everything in its respective powâ€" er to remove or overcome such cause or causes of interruption. 28. The Commission shall fix the rates of fare, including the rate if any for transfers to or from other transâ€" portation . services operated by the Commission, to be charged from time to time on the street railways and such rates shall be such as in the opinion of the Commission are necessary to meet the full cost of the maintenance, reâ€" pair and operation of any such street railways, such maintenance, and/ or reâ€" newal reserves as it shall think necesâ€" sary, and the debt charges against the same. No reduction, however, shall be made in any existing fares unless by consent of the parties hereto or order of the Board, and not more than one unâ€" iform fare shall at any time be charged upon the street railways for any one continuous journey between any point within the present limits of the Town and that portion of . the. Township which may be assessed for the street railways and any other point in such area, provided that with the consent of the Corporation in which any extension or addition to the existing street rair way is made an extra fare on such exâ€" tension or addition may beâ€" charged. Where cars are through routed over the street railways and â€" any other street railway operated by the Comâ€" mission other than that in the City of Toronto, the Commission shall deterâ€" mine the proportions of revenue, and expenditure to be allotted to ecach of such street railways. 29. The cost of maintenance, reâ€" pair and operation of the street railâ€" ways shall be computed as follows: (a) All items directly chargeable to operation for the Corporations, such as power, maintenance of way and snow removal, shall, with the exception of injuries and damâ€" ages, be so charged. (b) The only amount chargeable in respect of injuries and damages shall be the same annual cost per car mile as is incurred by thel Commission in the operation of its street railways within the City of Toronto in respect of such item (including therein administration and legal expenses). (c) Save in respect of such items as above, the cost of operation, exâ€". clusive of _ administration and management, of rolling stock shall be charged on a car mileage basis, the rate therefor to be the averâ€" age rate upon the Commission‘s city system for rolling stock of a like character and such rate to inâ€" clude an allowance for the capital costs of rolling stock and/ or . equipment where such rolling stock and/ or equipment is not owned by the Town or Township. (d) Any other items of cost applicable both to the street railways and other street railways shall be apâ€" portioned by the Commission acâ€" cording to the respective use made by each of the facilities in respect of which such item of cost was inâ€" curred. (e) A sum not exceeding five per cent, of the gross annual revenue may us be set aside each year for the purâ€" poses of an Operating Reserve Fund and such amount shall be inâ€" cluded in the cost of maintenance, repair and operation. (f) The cost of administration _ and management in connection with such operation is to be estimated at seven per cent. ‘of all other items of cost of maintenance, reâ€" pair and operation and is to be added thereto and retained by the *Commission for its own use. 30. In connection with the matters dealt with by the next preceding parâ€" agraph, the system of accounting to be used, except where inconsistent with the express provisions hereof, shall be the classification of accounts for use of electric railways prescribed by the Interstate Commerce Commission of the United States, dated July 1st, 1914, and any future revisions thereof. 31. The Commission shall, ‘after providing for the maintenance, repair and operation as above defined, of the street railways and such maintenance and renewal reserves as it shall think necessary, pay any surplus revenue in its hands to the respective Treasurers of the Corporations in the proportion provided for by paragraph (36) hereâ€" of, to be placed by them in special street railway accounts for the payâ€" ment from time to time of the debt charges incurred in respect of the street railways. 32. Any payments to be made by, the Commission under the next precedâ€" ing paragraph shall be made forthwith after each quarter of the calendar year and are intended to be approximate only and shall be subject to adjustment by the Commission after the annual audit and report hereinafter provided for. f 33. (In consideration of the covenâ€" ants and agreements entered into hereâ€" in by the Corporations, the Comutsâ€" sion, for the purposes of Paragraph (31) hereof only, agrees that the cost of paving the track allowance as deâ€" fined in Paragraph (21) hereof with a type of pavement to be agreed upon by the parties hereto and according to plans and specifications furnished by the Commission, may be included in the debt charges referred to in such paragraph, vrovided that all such costs shall be kept in‘ a separate account from the costs of track structure and overhead. 34. After the close of each calenâ€" dar year the Commission will prepare a report to the Corporations giving a complete certified financial statement of its operation of the street railways during the preceding year, and any of such statements shall be, if either the Town or Township so desires, subject to audit by one independent auditor to be agreed on by the parties or appointed by the Board. 85. The Commission will, upon reâ€" quest, furnish the Town or Township with a statement of the revenue pasâ€" sengers carried and the car miles opâ€" erated for any calendar month on the street railways and/ or the portion thereof within the limits of the Corâ€" poration making such request. Corporations shall pay to the Comâ€" mission forthwith on demand . the amount of any such deficiency in the proportions set out in the next precedâ€" ing paragraph. Provided that in the event of the neglect of éither of such Corporations to pay their proper proâ€" portion of such amount within thirty (30) days of such demand, the Comâ€" mission may, without further notice, discontinue the operation of the said street railways and it and the other party hereto may recover from the Corporation in â€" default any damage sustained by reason of such default, but such discontinuance of operation shall not release any party from this agreement. And provided further that the Corporation not in default, without 36. The revenues of the street railâ€" ways shall be apportioned as betweer the Town and the Township for each calendar year or portion thereof on the following basis: (a) If the cost of \maintenance, repair and operation of the street railâ€" ways as defined in paragraph (29) hereof shall exceed the gross reâ€" venues for any such period, the consequent deficit on operation shall be borne by each municipalâ€" ity in proportion to the car miles operated during such period withâ€" in its limits. (b) Should the gross revenues exceed such cost of maintenance, repair and operation, then any resulting surplus is to be divided between the two municipalities in proporâ€" tion to the capital investment of each in the street railways. 37. If for any reason the revenue from the street railways for a period of three consecutive calendar months shall be insufficient to meet the full costs for such period of the maintenâ€" ance, repair and operation thereof as defined in paragraph (29) hereof, the prejudice to its rights under this agreement, may at its option pay the amount in default by the other Corâ€" poration and shall have the right to recover the amount of such paymeng from such Corporation in default. _ 4 38. The Commission may, durin} the term of this agreement, oper over the street railways through ru ning cars serving other municipaliti in conjunction with the Town and/ the Township. _ Such through runningÂ¥ service shall not, however, be comâ€" menced in respect of cars serving any, other municipality than the Corpora~ tions and the City of Toronto until the terms and conditions thereof, as, agreed to by the Commission on beâ€" half of the Town and/ or the Township, shall have been approved of by the Town and the Township, or. failing such approval by either Corporation, by the Board. ©89. .
