Mr. and Mrs. Johns and Mrs. Parker of Cobourg were in the village on Triday. Mr. W. Grice of Port Hope was a recent visitor at the home of his sister, Mrs. Jack Cowey. We are glad to report Mr. Coulter, at Wicklow, sufficiently recovered from his long illness to be able to sit up again. Mr. M. Brown, Cobourg, has been repairing fences and buildings on the Frances farm. Rev. Mr. Duncan of Warkworth was a recent visitor at the home of Mr. and Mrs. W. F. Broomfield. The new bridge is almost completed and we are justly proud of its fine appearance, and prouder still, that it U safe for traffic. The Ladies' Association met in the S S. room on Thursday last for their monthly meeting. We are in line for the hunting season, the tax paying season, and Christmas season, and the second seems the "dearest." Mr. and Mrs. Kerr were in Roseneath on Wednesday last. Friends from here attended the funeral of the late Peter Newton, Baltimore, on Wednesday last. Mr. and Mrs. Floyd Vosberg, Castleton, visited■ Mr. and Mrs. J. Darltag on Wednesday. Congratulations to Mr. and Mrs." Eruce Usher of Wicklow, who on Thursday iast received the T. Eaton Com'pany's speical prize of table silverware, for having the best herd of cattle on exhibit at Colborne Fair. Mr. and Mrs. Stanley Deviney are spending the winter with Mrs. De-viney's mother. Miss Mildred McGregor, Castleton, spent the weekend with Miss Reta Fitchett. We are glad to see Mrs. J. Darling out again after her recent illness. "WJe're very interested in a statement made by a Mr. T. Christenson cf London, Ontario, "who said, " If be had his, way heM do away with the money system." Is it possible that we have only dreamed that moneyless system came into effect long Mrs. Fred Darling and children visiting Trenton friends. A large number of friends gathered at the home of the late Mrs. Susan Turk, to show their respect of the kind neighbour who had passed away, and their sympathy for 1 ones. Although Mrs. Turk had quite frail for a long while, her came, as a shock, as' she had been able to be around her home until week previous. Kindly and quiet by nature, she was devoted to her two sons, James of Toronto and Bert of Vernonville, and to her young grandson Ralph, to whom she has taken the place of grandmother and mother, since the passing of his own mother, some six years ago. Mrs. Turk was in her eighty-fifth year, and was predeceased by her husband, the late Rich-ard Turk, three years ago. After a short service at the house, led by the Rev. A. J. Terrill, the funeral cortege left for Centreton, where church service was held. Interment in Centre-ton Cemetery. Trucks are busy distributing gravel on the Shelter Valley road and covering in the million dollar bumps. SHILOH November 8th, 1932 Miss Margaret Mutton spent thi weekend with relatives in Cobourg. Mrs. Chas. Lee and two children are spending a few days with friends near Morganston. The members of the Shiloh Church Board attended the meeting at Hilton parsonage Monday evening. Mr. and Mrs. Hubert Mutton have moved to their new home on the homestead, formerly owned by his grandfather, the late John Mutton. Quite a number from this neighbourhood attended the Anniversary "_' vices at Hilton Church last Sunday evening, and enjoyed the very interesting talk by the Pastor, Rev. ~~ Armstrong, on the "War and Armistice Day." All enjoyed the excellent sermons delivered by Rev. Dr. Smith of Warkworth. Weekend visitings included Mr. and Mrs. A. Lonsberry and Elva, and Mr. and Mrs. W. Keeler sr. at Mr. Wilton's; Mrs. Elmer Lonsberry in Cobourg, Miss E. Parker and Mrs. A. Stevens at Mr. L. Jayne's. Ethel Joice, who represented S. S. No. 8 at the speaking contest at Centreton, won third prize. Ethel is to be congratulated as this is her first attempt. The pupils of our school rendered two vocal,selections. Mr. Balsdon of McMaster took charge of the services at Eddystone Church Sunday, spending the weekend at the Keeler home. Peebles Estate at a price of Eight Thousand Dollars and to provide for the borrowing of the sum of $8,000.00 for that purpose and for the further of $7,000.00, or less as the case may be, for the rehabilitation and reconstruction of the said system;" AND WHEREAS the Municipal Council of the Corporation of the said Village of Colborne deem it advisable to submit to the vote of the electors cf the Corporation qualified to vote on money By-Laws, a question as to whether the said electors are in favour M securing a supply of electrical power or energy from The Hydro-Electric Power Commission of On- NOW THEREFORE the Municipal Council of the Village of Colborne, enacts as follows:-- (1) There shall be submitted to the electors of the Corporation of the Village of Colborne, qualified to vote on mioney By-Laws, the proposed By-Law entitled "A By-Law to Authorize the Purchase of the Electrical Distribution System in the Village of Colborne, in the Township of Cramahe and in the Township of Haldimand, owned by the G. M. Peebles Estate at d price of Eight Thousand Dollars and to provide for the borrowing of the sum of $8,000.00 for that purpose and for the further sum of $7,000.00, less as the case may be, for the rehabilitation and reconstruction of the said system," a copy of which proposed By-Law is hereto attached and marked as Exhibit "A" and forms part thereof: (2.) THAT the following question be submitted to the electors of the Corporation qualified to vote money By-Laws, that is to say: Are you in favour of securing a supply of electrical power or energy from The Hydro-Electric Power Commission of. Ontario? (3.) THAT the votes of the said electors shall be taken on the said question at the following times and and by the Deputy Returning Officers and Poll Clerks, hereinafter named, that is to say: The voting shall take place c Twenty-first day of November, 1932, from nine o'clock In the fore->on until five o'clock in the a: Polling Sub-Division No. 1. At Town Hall with W. A. Seed Deputy Returning Officer and John Bell Poll Clerk. Polling Sub-Division No. James H. Bellamy's Workshop with W. A. Moore Deputy Returning Offic-*, and Fred Armstrong Poll Clerk. (4.) A true copy of this By-Law shall be published in the following newspaper on the days hereinafter mentioned, that is to say: The Colborne Express on the 27th day of October and the 3rd and 10th days of Novembe'r, A.D. 1932. (5.) On the 19th day of November, D. 193!2i, at Council Chamber, King Street, in Village of Colborne, at two o'clock in the afternoon, the Reeve will in writing signed by him appoint two persons to attend the final summing up of the votes by the Clerk of this Corporation, and one person to attend each polling place on behalf cf the persons interested desirous of the answering of the said question in the affirmative; and a like number on behalf of the persons interested i.i sirous of answering the said question in the negative, respectively. (6.) The 22nd day of November, A.D. 1932, at Council Chamber at eleven o'clock in the forenoon is hereby appointed as the time and place for summing up by the Clerk of this Corporation of the number of votes given in the affirmative and in the negative, respectively. FINALLY PASSED AND ENACTED this Twenty-fourth day of October, A.D. 1932. IRA EDWARDS, electricity in connection therewith (herein referred to as th Peebles Estate System), on i and conditions set forth in a certain proposed agreement between the G. M. Peebles Estate and the Corporation of the Village of Colborne, copy of which agreement is marked Schedule "A" hereto; AND WHEREAS for the purpose of the purchase of the G. M. Peebles Estate System and for the rehabili tation and reconstruction thereof it is necessary to borrow the Fifteen Thousand Dollars ($15,000.00) on the credit of the Corporation at large and to issue debentures therefor, bearing interest at six and one-half per cent. (6%%) per annum, payable annually, which is the amount of the debt intended to be created by this By-Law; AND WHEREAS the Hydro Electric Power Commission has agreed purchase from the Corporation that part, of the G. M. Peebles Estate System in the Township of Cramahe and in the Township of. Haldimand for the sum of $1,000.00. AND WHEREAS the amcunt of the whole rateable property of the Municipality; according to the iast revised assessment roll is $371,927.00 AND WHEREAS the amount of the existing debenture debt ot the Corporation (exclusive of local improvement debts secured by special rates r assessments) is $91,340.00 and no part of the principal or Interest is in NOW THEREFORE the Municipal Council of the Corporation of the Village of Colborne, ENACTS AS FOLLOWS: -- (1.) THAT the purchase by the Corporation of the Village of Colborne of the said electrical distribution system and business known as the "G. M. Peebles Estate System" on the terms and conditions set forth in the said proposed agreement is hereby authorized. (2.) THAT the Reeve and Clerk of the Corporation of the Village of Colborne are hereby authorized, empow-ored and required to execute the said agreement on behalf of the said Corporation and the Clerk is hereby authorized and required to attach the corporate seal to the said agreement. (3.) All necessary By-Laws, acts, matters and things necessary for the performance of the said agreement on the part of the said Corporation are hereby authorized. ' (4.) That for the purpose aforesaid there shall be borrowed on the credit of the Corporation at large the ______ cf Fifteen Thousand Dollars ($15,000-.00) and debentures shall be issued .therefor in denominations of not less than One Hundred Dollars each, bearing interest at the rate of six and one. half per cent, per annum, annually, and having coupons attached thereto for the payment of the interest. (5.) The debentures shall all the same 'date and shall be issued within two years after the day which this By-Law is passed, may bear any date within such two years and shall be payable in twenty annual installments during the twenty years next after the time when the same are issued, and the respective amounts of principal and interest payable in each such years shall be in accordance with the statement appearing in Schedule "B" hereto annexed, which is hereby declared to be and form part of this By-Law. (6.) The debentures as to both principal and interest shall be payable in lawful money of Canada at any place or places in Canada. (7.) The Reeve of the Corporate shall sign and issue the debentures and the same shall also be signed by the Treasurer of the Corporation and the debentures shall be sealed with the seal of the Corporation. The coupons shall be signed by the Treasurer and his signature thereto may be written, stamped, lithographed or engraved. H. S. : (L. S.) EXHIBIT "A" VILLAGE OF COLBORNE BY-LAW No. . . A By-Law to provide for the borrowing of $15,000.00 upon debentures for the purchase of the Electrical Distribution System and business in the Village of Colborne, in the Township of Cramahe and in the Township of Haldimand, owned by the G. M. Peebles Estate for the price and sum of $8,000.00 and for the rehabilitation and reconstruction of the system at a cost of $7,000.00. WHEREAS the Corporation of the ■Village of Colborne desires to purchase electrical distribution system in the said Village of Colborne, in the Township of Cramahe and in the Township of Haldimand, together with all extensions and additions, and also the business of the distribution of (8.) During twenty years, the ency of the debentures the respective urns specified in column 4 of Schedule 'B" shall be raised annually for the payment of the debt and the interest thereon and shall be levied and rafted annually by a special rate sufficient therefor over and above all other rates on all the rateable property in the Municipality at the same time and in the same manner as other rates. (9.) The debentures may contain any clause providing for the registration thereof authorized by any statute relating to Municipal debentures in force at the time of the issue thereof. (10.) PEEBLES ESTATE, of the Village of Colborne, hereinafter called the 'ESTATE' OF THE FIRST PART THE MUNICIPAL CORPORATION OF THE VILLAGE OF COLBORNE, hereinafter called the 'CORPORATION' OF THE SECOND PART. WHEREAS under and by virtue of a franchise granted to the Estate, the electrical distribution system and busi-the Village of Colborne is owned and operated by the Estate; AND WHEREAS the said franchise wjll expire on the 31st day of December, A.D., 1932; AND WHEREAS the Corporation desires to purchase the said electrical distribution system and business including all alterations, extensions and additions thereto and therein within the limits of the Village of Colborne, the Township of Cramahe and the Township of Haldidmand, : Estate is willing to sell the same and agreed to do so upon, the terms and conditions hereinafter appearing. NOW THEREFORE THIS AGREEMENT WITNESSETH that for and in consideration of the sum* of Eight Thousand Dollars ($8,000.00), the parties hereto covenant, promise and agree as follows.--■ (1.) The Estate hereby sells, conveys, assigns, transfers and sets over to the Corporation, ALL AND SINGULAR, the electrical distribution system the Village of Colborne, in the Township of Cramahe and in the Township of Haldimand, all in the County of Northumberland, and all as particularly described in Schedule "A" hereto attached and forming part of this agreement and also the business of the distribution of electricity in connection therewith (all of hich is hereinafter referred to as ie "COLBORNE ELECTRIC SYSTEM"). (2.) The Estate hereby transfers, 'signs and sets over to the Corporation all existing contracts for the of electrical power or energy to consumers, who are being supplied from the Colborne Electric System, and all benefits and advantages to be derived therefrom subsequent to the date of transfer herein referred to, and the Estate does hereby grant to the Corporation full right, power and authority to perform, enforce and enjoy every such customer contract from and after the said date of transfer, as fully as the Estate could do: and the Estate hereby assigns and re leases to the Corporation all its right and interest therein. (3.) The Estate hereby assigns, surrenders, releases and gives up to the Corporation all rights, privileges and franchises in connection with the said Colborne Electric System the Corporation hereby releases and forever discharges the Estate from all obligations, liabilities and indemnities arising out of or connected with all such agreements or anything done or maintained thereunder; and all rights and liabilities thereunder shall absolutely cease and determine at the time and on the date of transfer hereinafter set out; (4.) The Estate hereby grants, cenveys, releases and sets over to the Corporation all lands, easements, rights-of-way and other interests in land included in the Colborne Electric System: to adjust, settle or compromise any actions, legal proceedings, debts, claims or disputes connected with any such; to give time for payment with. or without security; and to give, execute and deliver deeds, receipts, releases and discharges in connection therewith; and full power and authority is hereby given to said attorney to perform any act necessary or expedient for such purposes as fully as the estate itself might oi could do, and the Estate hereby ratifies and confirms all that the said attorney or any substitue shall lawfully do or cause to be done by virtue hereof: (10.) The Estate shall deliver to the Corporation all contracts, evidences of contracts, and strictly local records in connection therewith, and shall furnish all reasonable infor-mation to the Corporation in every way to make the said assignment and transfer effective so that the Corporation may carry on the said business and perform and enforce the said contracts as effectively as the Estate itself could have done: (11.) This agreement shall become effective at midnight on the Thirty-first day of December, A.D. 1932, herein referred to as the date of transfer. (12.) This agreement shall extend to and be binding upon and enure to the benefit of the successors and assigns of the parties hereto respectively: IN WITNESS WHEREOF the parties hereto have caused this agree-) be executed, attested by the fixing of the Corporate seal and by signatures of its proper officers to the Village of Colborne and under the hand and seal of the sole executor of the G. In addition to the propertii hereinbefore transferred the Estate hereby sells and transfers and Corporation hereby purchases takes over ALL AND SINGULAR the utility equipment, office furniture, tools, plant, operating stores and appliances in connection with the said Colborne Electric System, according to ~i inventory thereof to be made by third party before the date of ansfer on the basis of present day placement value. (6.) The Corporation shall pay the Estate the sum 'of Eight Thousand Dollars ($8,000.00) for the poles, .eters, transformers (excepting those not set up), conductors, street lights, services and good will and all other property used in connection with the supplying of energy or power. All adjustments under this agreement or in connection with the transfer of the said Colborne Electric System shall be made as of the date of transfer; The Corporation shall take over and assume the control, administration and management of said Colborne Electric System on the said date of transfer and shall thereafter be responsible for the said System nd everything transferred, or agreed r intended so to be, and all risk, ability and obligation in connection herewith and shall at all. times thereafter indemnify and save harmless the Estate therefrom: (8.) The Estate shall.from time to time and at all times hereafter upon every reasonable request of and at the expenses of the Corporation ex cute and deliver all further and otb documents and instruments and do i cause to be done all acts and things whatsoever for the better and i perfectly conveying and assuring and every thing hereby conveyed or agreed or intended so to be and for the purpose of effectually carrying out the intents and purposes of this agree- (9.) The Estate does hereby appoint the Corporation its true and lawful attorney for and in the name of the Estate but fcr the sole use and benefit of the Corporation and its expense to demand, sue for, collect, recover and receive all moneys due or payable upon or under any contract, right, matter or thing herein conveyed or intended so to be, to get in, obtain, protect or enforce any such rights, contract, matter or thing; to commence,, prosecute or defend all actions or other legal proceedings; NOTICE TAKE NOTICE that the above is a ' true copy of the By-Law to be submitted on the 21st day of November, . 1932, to the electors of the Municipal Corporation of the Village of Colborne. If the assent of the electors is obtained to it, it will be taken into con-i deration by the Council of the said Municipality after the expiration of month from the date of the first publication, which date is 27th.day of October, A.D. 1932. And further take notice that nominees of corporations are qualified to vote on such By-Laws by filing with the Clerk of the Municipality, at least ten days before such voting, notice of their appointment in writing by such corporation in acocrdance with Chapter 233, Section 274, subsection 2 and 4, of the Revised Stat utes of Ontario, 1927.
